Nature of the Website and Protocol
The Website merely links to an interface which provides access to the WaterNeuron protocol (the "Protocol"), a fully decentralized and autonomous canister smart contract system deployed on the Internet Computer Protocol (ICP). The interface itself is hosted as an asset canister on the decentralized ICP infrastructure, which operates autonomously under the governance of its Network Nervous System (NNS). Neither the Website nor any entity controls, operates, or is responsible for the Protocol or the underlying ICP infrastructure, and there is no centralized entity that is responsible for the operation, running or functioning of the Protocol and/or any of the interactions, collaborations or factual relationships between its users and the smart contracts of the Protocol.
The Website is not necessary for the operation of or interaction with the Protocol. Any Visitor may interact with the Protocol through alternative means, including direct canister calls. The Website operates on a non-custodial basis. You connect your own ICP wallet to interact with the Protocol. No one (except for each user relating to his/her assets) has access to or any other possibility to control and/or influence the corresponding transactions, deposits and/or allocations made by any other user of the Protocol. You are solely responsible for the security of your wallet and private keys. If you lose access to your wallet, your private keys or seed phrase, no one can recover your access to your funds.
Your access and use of any Protocol is entirely at your own risk and could lead to substantial or complete loss of funds. To assess the viability, risks and suitability of the Protocol lies in your sole responsibility.
The Website is provided 'as is' and no one makes any representation or warranty of any kind, including its suitability, quality, availability, accessibility, accuracy or safety. The canister smart contracts as well as the Protocol are of experimental nature and may contain bugs, defects, or errors that may materially and adversely affect their use, functionality, or performance. No entity makes any representations or warranties regarding the accuracy of information provided through the Website, including documentation, statistics, APY/APR estimates, or other displayed information.
Liability & Indemnity
The Visitor acknowledges and agrees that the Protocol is an open-source project governed by the WaterNeuron DAO through the Service Nervous System (SNS) on ICP. Upgrades and modifications to the Protocol may be managed through DAO governance. No developer, entity, DAO member, any of its representatives or directors or any other persons involved in any way with the Protocol are liable for any claims or damages whatsoever associated with your use, inability to use, or your interaction with other users of, the Protocol, including any direct, indirect, incidental, special, exemplary, punitive or consequential damages, or loss of profits, cryptocurrencies, tokens, or anything else of value.
To the extent any entity is associated with the Website, such entity is solely liable to the Visitor for damages resulting from gross negligence or wilful misconduct relating to the Website interface only. In all other cases, liability under the Terms is excluded to the maximum extent permitted under applicable law.
Neither party may recover from the other party, regardless of the legal reason, any amount with respect to loss of profit, data, or goodwill, or any consequential, incidental, indirect, punitive, or special damages in connection with claims arising out of these Terms or otherwise relating to the Website, whether or not the likelihood of such loss or damage was contemplated. No entity associated with the Website will be held liable for any inaccuracy or incompleteness of the Website.
No Representations or Warranties
The Visitor acknowledges that the Website and the Protocol are provided "as is" and "as available", and no warranties or representations of any kind are made related to the Website or the Protocol or the information and materials contained thereon.
The Website may contain third-party content or links to third-party websites. No responsibility is assumed for and no warranties or representations are made as to any third-party content or websites, including but not limited to the accuracy, subject matter, quality, or timeliness.
Representations by Visitors
The Website may only be used by persons that are at least the age of majority in your jurisdiction (and in any case at least eighteen years old) and have the full right, power, and authority to enter into and comply with the terms and conditions of these Terms on behalf of yourself and any company or legal entity for which you may access or use the Website.
You represent that your access and use of the Website will fully comply with all applicable laws and regulations, and that you will not access or use the Website to conduct, promote, or otherwise facilitate any illegal activity. You further represent that you are not a resident of any of the following countries: Afghanistan, Belarus, Burundi, the Central African Republic, Cuba, the Democratic Republic of Congo, the Democratic People’s Republic of Korea, the Crimea region of Ukraine, Guinea, Guinea-Bissau, Haiti, Iran, Iraq, Libya, Mali, Moldova, Myanmar, Nicaragua, North Korea, Russia, Somalia, Sudan, South Sudan, Syria, the USA, Venenzuela, Yemen, and Zimbabwe or any other jurisdiction in which accessing or using the Protocol is or may be prohibited ("Prohibited Jurisdictions"). In using the Website, you confirm that you are not located in, incorporated or otherwise established in, or a citizen or resident of, a Prohibited Jurisdiction, use a VPN to pretend not to be from a Prohibited Jurisdiction, or that you are the subject of economic or trade sanctions administered or enforced by any governmental authority or otherwise designated on any list of prohibited or restricted parties (including but not limited to the list maintained by the Office of Foreign Assets Control of the U.S. Department of the Treasury).
Intellectual Property
All rights, titles, and interests to its own intellectual property, including all copyrights, inventions, trademarks, designs, domain names, know-how, trade secrets, data and other intangible property rights ("Intellectual Property Rights") related to the Website interface remain vested in their respective owners. The Protocol consists of open-source canister smart contracts that may have various licenses governing their use.
Miscellaneous
Entire Agreement: Any deviation from the Terms not anticipated by the Terms requires an explicit reference to the altered clause of the Terms. General terms and conditions of the Visitor are excluded unless they have been expressly accepted.
Changes to Terms: These Terms may, from time to time, be changed. The Terms at the time of visit apply. Continued use of the Website after changes constitutes acceptance of the revised Terms.
No Assignment: The Visitor may not assign any of its rights, obligations, or claims under the Terms without the previous consent of any entity associated with the Website.
Severability: If any provision of the Terms (in whole or part) is held to be illegal, invalid or otherwise unenforceable, the other provisions will remain in full force and effect.
Governing Law & Jurisdiction: These Terms, and all claims or causes of action arising out of or relating to these Terms, shall be governed by and construed in accordance with the substantive laws of the Republic of the Marshall Islands, excluding its conflict of law provisions and the United Nations Convention on Contracts for the International Sale of Goods (CISG). This choice of law is made solely to provide a legal framework and does not imply that any entity operates from or is located in the Marshall Islands. The ordinary courts of Majuro, Marshall Islands, shall have exclusive jurisdiction over all disputes arising out of or in connection with these Terms.
Class action and jury trial waiver: You must bring any and all disputes against us in your individual capacity and not as a plaintiff in or member of any purported class action, collective action, private attorney general action, or other representative proceeding. This provision applies to class arbitration. You and we both agree to waive the right to demand a trial by jury.
